1. Agreement to Terms

By accessing or using Orbio Cloud's fleet management platform and services (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

Orbio Cloud provides a cloud-based fleet management platform that includes:

• Vehicle tracking and monitoring
• Maintenance scheduling and management
• Driver check-in/check-out systems
• Compliance tracking and reporting
• Analytics and insights
• Mobile applications for drivers and managers

3. Account Registration

To use our Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Subscription and Payment Terms

4.1 Subscription Plans

Orbio Cloud offers various subscription tiers (Starter, Professional, Business, Enterprise) with different features and pricing. Details of each plan are available on our pricing page.

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• We reserve the right to change prices with 30 days notice
• You are responsible for all applicable taxes

4.3 Payment

Payment is processed through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Collect or harvest any personally identifiable information
• Use the Service to send spam or unsolicited messages
• Resell or redistribute the Service without authorization

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Orbio Cloud and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data you submit to the Service. By using the Service, you grant us a license to use, store, and process your data to provide the Service.

7. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

8. Service Level Agreement

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and shall not be liable for any downtime or service interruptions.

9. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

IN NO EVENT SHALL ORBIO CLOUD, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify and hold harmless Orbio Cloud and its affiliates, officers, agents, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Service, violation of these Terms, or violation of any rights of another.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through your account settings or by contacting support.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
